CMS advises Pelion S.A. on the conclusion of a preliminary agreement with Mutares SE & Co. KGaA for the sale of 100% of shares in Natura sp. z o.o., one of the largest drugstore chains in Poland. The transaction will be finalised once the conditions precedent have been met and the approval of the President of the Office of Competition and Consumer Protection has been obtained.

Pelion, which has owned Natura since 2014, will focus on further growth in the pharmaceutical market in Poland and Europe, providing innovative products and services to comprehensively care for patients’ health.

Pelion is the one of the largest healthcare companies in Poland, developing its business domestically and in foreign markets, Sweden and Lithuania. Pelion’s services cover all market sectors and are aimed at patients, pharmacies, hospitals and manufacturers. Pelion manages the third largest pharmacy network in Europe.

CMS’s comprehensive legal advice to Pelion was supervised by partner Ryszard Manteuffel with support from Robert Semczuk, Zuzanna Sapocińska, Łukasz Duchiński and Monika Piepiórka (Corporate/M&A), and Agnieszka Starzyńska (Competition).
